coaching terms & conditions

This is an agreement between Hellohappen LLC (herein named as CONSULTANT) and you, the CLIENT, for the identified brand coaching and consulting package. The fee will be refundable on a prorated basis in the event of illness or other serious emergency which prevents completion of the program. The program fee is non-refundable for any other reasons. By committing to this process, you are committing to follow the program and decisions you make regarding your brand, in order to see results.

The service provided to the CLIENT by the CONSULTANT is brand coaching and consulting (herein referred to as CONSULTING). CONSULTING may address overall goals, specific projects, or general conditions in the CLIENT's business and marketing. The CONSULTANT does not guarantee expertise in the industry or profession of the CLIENT, but rather in brand strategy and guiding the CLIENT through the branding and messaging process. CONSULTING services may include setting priorities, establishing goals, identifying resources, brainstorming, asking guiding questions, asking clarifying questions, creating action plans, and providing models, examples, and in-the-moment skills training. The CONSULTANT promises that all information provided by the CLIENT will be kept strictly confidential, as permissible by law. 

Throughout the relationship, the CONSULTANT will engage in direct and personal conversations with the CLIENT, which will include asking explicit questions and making requests. The purpose of these interactions is to guide the CLIENT in considering the questions and making the decisions necessary to build an intentional brand. In order for our relationship to achieve the maximum result, the CONSULTANT asks that the CLIENT agree to the following:

1.  Please be on time to all appointments. If you will be late, notify the CONSULTANT in advance. If you will miss an appointment, notify the CONSULTANT at least 24 hours in advance. As a courtesy, you may reschedule an appointment with less than 24 hours' notice the first time; thereafter, rescheduling will occur only at the CONSULTANT’s discretion. Appointments missed without prior notification will be rescheduled only at the CONSULTANT's discretion.

2.  Be honest, participate fully, and come prepared for sessions.

3.  Make a commitment to the decisions you reach regarding your business and brand, and do what you have agreed to do to achieve results.

4.  If you see that the program is not working as you desire, communicate feedback to CONSULTANT to better address desired goals.

Except as expressly provided in this agreement, the CONSULTANT makes no guarantees or warranties, express or implied. In no event will the CONSULTANT be liable to the CLIENT for consequential or special damages. Notwithstanding any damages that the CLIENT may incur, the CONSULTANT’s entire liability under this agreement, and the CLIENT’s exclusive remedy, will be limited to the amount paid by the CLIENT to the CONSULTANT under this agreement for all services rendered up until the termination date.

This is the entire agreement of the parties, and reflects a complete understanding of the parties with respect to the subject matter. This agreement supersedes all prior written and oral representations.

If a dispute arises out of this agreement that cannot be resolved by mutual consent, the CLIENT and CONSULTANT agree to attempt to mediate in good faith for up to 30 days after notice given. 

The CLIENT's payment and indicated agreement with these Terms & Conditions indicates compliance with the above requests, and understanding of the services to be provided.
